4. User Obligations
4.1 For Job Seekers
You agree to:
- Provide truthful and accurate information in your applications and profile
- Not misrepresent your qualifications, experience, or credentials
- Attend scheduled interviews and respond to communications promptly
- Notify us immediately of any changes to your job search status
- Not submit fraudulent documents or references
- Respect confidentiality of client and employer information
4.2 For Employers/Clients
You agree to:
- Provide accurate job descriptions and requirements
- Comply with all applicable employment laws and regulations
- Not discriminate based on protected characteristics
- Pay agreed-upon fees in a timely manner
- Maintain confidentiality of candidate information
- Not directly solicit candidates we present for a period of 12 months without paying applicable fees
4.3 Prohibited Conduct
You agree NOT to:
- Use our services for any illegal or unauthorized purpose
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Upload viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems
- Harass, abuse, or harm other users or our staff
- Submit spam, automated queries, or excessive requests
- Scrape or data mine information from our website
- Impersonate another person or entity
5. Fees and Payment
5.1 Job Seeker Fees
Our services to job seekers are generally provided at no cost. Any fees for premium services will be clearly disclosed before you commit.
5.2 Employer/Client Fees
Employers and clients agree to the following:
- Contingency Fees: Percentage of first-year salary (typically 15-25%) upon successful placement
- Retained Search Fees: As specified in separate engagement agreements
- Temporary Staffing Fees: Markup on hourly or daily rates as agreed
- Replacement Guarantee: 90-day guarantee period for permanent placements
5.3 Payment Terms
- Invoices are due within 30 days of issue date
- Late payments may incur interest charges of 1.5% per month
- Failure to pay may result in service suspension and legal action
5.4 Refund Policy
Refunds are provided according to our replacement guarantee policy. If a placed candidate leaves or is terminated within 90 days, we will provide a replacement search at no additional charge or a prorated refund as specified in your agreement.
6. Intellectual Property Rights
6.1 Our Property
All content on our website, including text, graphics, logos, images, and software, is the property of TaskHub Recruitment Solutions and is protected by copyright and trademark laws.
6.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose.
6.3 User Content
By submitting content (resumes, applications, job postings) to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our services.
6.4 Restrictions
You may not:
- Reproduce, modify, or create derivative works from our content
- Distribute, sell, or license our proprietary materials
- Remove copyright or proprietary notices
- Use our branding without written permission
7. Confidentiality
7.1 Confidential Information
Both parties agree to maintain confidentiality of:
- Proprietary business information
- Candidate personal data and resumes
- Client job requirements and hiring strategies
- Fee structures and business terms
- Trade secrets and competitive information
7.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available through no breach of this agreement
- Was rightfully possessed prior to disclosure
- Is independently developed
- Must be disclosed by law
8. Disclaimer of Warranties
8.1 “AS IS” Basis
Our services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.
8.2 No Guarantee of Results
We do not guarantee:
- Job placement or employment outcomes
- Specific candidate quality or performance
- Uninterrupted or error-free service
- Security of data transmission over the internet
8.3 Third-Party Content
We are not responsible for the accuracy, reliability, or content of third-party websites or services linked from our platform.
9. Limitation of Liability
9.1 Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
9.2 Maximum Liability
Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you to us in the six months preceding the claim, or PHP 50,000, whichever is less.

12. Termination

You may terminate your account at any time by contacting us in writing.
12.2 By Us
We reserve the right to suspend or terminate your access to our services at our sole discretion, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Abusive or inappropriate behavior
- Any reason we deem necessary to protect our business
12.3 Effect of Termination
Upon termination:

- Outstanding fees become immediately due
